These Enrollment Terms of Service (these “Terms”) govern enrollment and participation in the First Time Filmmaker Intensive (the “Program”), an educational program presented by Ndovu Films, a South Carolina nonprofit corporation exempt under Section 501(c)(3) of the Internal Revenue Code (“Ndovu,” “we,” “us”), in collaboration with Applause Production LLC. By checking the acceptance box at checkout and submitting payment, you (“Student,” “you”) agree to these Terms. If you do not agree, do not enroll.
Your electronic acceptance at checkout constitutes your legal signature under the federal E-SIGN Act and the South Carolina Uniform Electronic Transactions Act, and Ndovu will retain a record of your acceptance.
1. THE PROGRAM
1.1 Description. The Program is a hands-on filmmaking education intensive consisting of eight (8) instructional sessions held across four weekends: September 5–6, September 12–13, September 19–20, and October 3–4, 2026 (no sessions September 26–27), Saturdays and Sundays from 12:00 PM to 8:00 PM, at 5816 C Shakespeare Road, Columbia, South Carolina 29223 (the “Venue”).
1.2 What’s included. Tuition includes all instruction; use of production equipment during supervised class activities; course materials; meals and refreshments at each session; and a limited 30-day license to the Shot Bible (Section 6).
1.3 Changes. Ndovu may make reasonable adjustments to the schedule, session content, instructors, or Venue upon notice to enrolled Students. Material changes (such as a change of city or a reduction in total instructional hours) entitle you to a full refund if you elect to withdraw within seven (7) days of the notice.
2. ENROLLMENT, TUITION, AND REFUNDS
2.1 Tuition. Tuition is $400.00 per Student, payable in full at enrollment. Your seat is confirmed only upon (a) full payment and (b) acceptance of these Terms. Enrollment is capped at twenty (20) Students and is first-come, first-served.
2.2 NO REFUNDS. Except as expressly stated in these Terms, tuition is non-refundable. Missed sessions are not refunded, credited, or repeated. Enrollment is personal to you and may not be transferred or resold without Ndovu’s prior written consent.
2.3 Full refund situations. You will receive a full refund of tuition if: (a) Ndovu cancels the Program (including for insufficient enrollment); or (b) you timely withdraw after a material change under Section 1.3. Refunds are issued to the original payment method within fifteen (15) business days.
2.4 Dismissal. If you are dismissed for violating these Terms (Section 8), no refund is owed.
3. ELIGIBILITY AND MINORS
3.1 The Program is designed for adults. You represent that the information you provide at enrollment is accurate.
3.2 Students under 18. A Student under eighteen (18) years of age may enroll only with the written consent of a parent or legal guardian, who must (a) accept these Terms on the minor’s behalf, (b) sign Ndovu’s supplemental minor-participation consent form before the first session, and (c) remain reachable at the emergency contact provided during all sessions. Ndovu may decline or cancel (with full refund) any minor’s enrollment if these requirements are not met.
4. ATTENDANCE AND THE CAPSTONE
4.1 Regular attendance is essential to a hands-on program. Attendance at both production-weekend sessions (September 19–20) is required to participate in the capstone project and receive capstone credit.
4.2 The capstone is a team exercise. Ndovu assigns teams and crew roles in its discretion as an instructional matter.
5. RECORDING, PHOTOGRAPHY, AND MEDIA RELEASE
5.1 We record. Program sessions, including the capstone shoots, are recorded by or for Ndovu on video, audio, and photography (collectively, “Recordings”).
5.2 Ownership. All Recordings are and will remain the sole and exclusive property of Ndovu Films, including all copyrights, from the moment of creation.
5.3 Your release. You irrevocably grant Ndovu and its licensees the perpetual, worldwide, royalty-free right to use your name, image, likeness, voice, and performance as captured in the Recordings, in any media now known or later developed, for educational, archival, promotional, and marketing purposes, without further consent, credit, or compensation. You waive any right to inspect or approve such uses. If you have a serious concern about appearing in promotional uses, contact Ndovu before enrolling.
5.4 No personal recording. Students may not record sessions by any means. Personal photography for keepsake purposes may be permitted at designated moments as announced by instructors.
5.5 Your clip. Following the Program, Ndovu intends to provide each capstone participant a highlight clip of the Student’s work, licensed to you for personal, non-commercial portfolio and social sharing with credit to “Ndovu Films — First Time Filmmaker Intensive.” This clip license does not transfer ownership.
6. INTELLECTUAL PROPERTY; SHOT BIBLE LICENSE
6.1 Course materials. All curricula, handouts, exercises, slide decks, scripts, and other materials provided in the Program (“Materials”) are owned by Ndovu (or licensed to it) and are provided for your personal, non-commercial educational use only. You may not copy, distribute, publish, sell, or use the Materials to teach or create competing instruction.
6.2 Shot Bible. The “Shot Bible” is proprietary intellectual property of its owner and is made available to you under a limited license that: (a) begins when credentials are issued during the Program and expires thirty (30) days after the final session (November 3, 2026); (b) is personal, non-transferable, and non-sublicensable; (c) prohibits copying, downloading, screenshotting, scraping, reverse engineering, sharing credentials, or creating derivative works or competing products; and (d) may be suspended or terminated for violation. Continued access after the Program, if offered, will be under separate terms.
6.3 Capstone scripts. Capstone scene scripts are provided by Ndovu for instructional use within the Program only.
7. ASSUMPTION OF RISK; RELEASE; LIABILITY
7.1 Nature of the activity. Filmmaking involves physical activity and work around equipment, including cameras, tripods, lighting fixtures (which can be hot and connected to electrical power), stands, cables, and grip gear, in a studio environment. You voluntarily assume the ordinary risks of participating.
7.2 Your responsibilities. You agree to follow all safety instructions, handle equipment only as directed, wear appropriate footwear on production days, and promptly report unsafe conditions or injuries.
7.3 RELEASE. To the fullest extent permitted by South Carolina law, you (for yourself and your heirs and representatives) release, waive, and discharge Ndovu Films, Applause Production LLC, and their respective officers, directors, members, employees, instructors, volunteers, and agents (the “Released Parties”) from any and all claims arising out of or relating to your participation in the Program, including claims based on the ordinary negligence of a Released Party. This release does not extend to gross negligence, recklessness, or intentional misconduct, or to any liability that cannot lawfully be waived.
7.4 Damage to equipment. You are responsible for loss of or damage to Program equipment caused by your misuse, unauthorized use, or willful misconduct.
7.5 Limitation. To the fullest extent permitted by law, the Released Parties’ total aggregate liability to you arising out of the Program will not exceed the tuition you paid, and no Released Party is liable for indirect, incidental, or consequential damages.
8. FOOD AND ALLERGENS
Meals and refreshments are provided. Ndovu and the Venue cannot guarantee that any food is free of allergens (including nuts, dairy, gluten, shellfish, soy, and eggs) or cross-contamination. Available allergen information will be announced or posted at each session. If you have a food allergy or dietary restriction, you are solely responsible for asking, verifying, and making your own food arrangements as needed. Please disclose severe allergies at enrollment so staff can be aware.
9. STUDENT CONDUCT
You agree to: treat instructors, staff, fellow Students, and the Venue with respect; refrain from harassment, discrimination, threats, or violence of any kind; bring no alcohol, illegal drugs, or weapons onto the premises and attend no session impaired; follow instructor direction and Venue rules; and refrain from disruptive conduct. Ndovu may dismiss any Student for violation of this Section, for safety reasons, or for violation of Section 5.4 or 6, without refund. One documented warning will ordinarily precede dismissal except for serious violations (safety, harassment, violence, impairment, or IP theft), which may result in immediate dismissal.
10. COMMUNICATIONS
By enrolling you consent to receive Program-related communications from Ndovu by email, phone, and text at the contact information you provide. Marketing communications will include an opt-out.
11. GOVERNING LAW; DISPUTES
11.1 These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.
11.2 Before filing any legal action, the parties will first attempt in good faith to resolve the dispute through direct discussion for at least thirty (30) days after written notice of the dispute.
11.3 Any legal action arising out of these Terms or the Program must be brought exclusively in the state courts located in Richland County, South Carolina, and you consent to personal jurisdiction and venue there.
12. GENERAL
12.1 Entire agreement. These Terms, together with your enrollment submission and any supplemental minor-consent form, are the entire agreement between you and Ndovu regarding the Program and supersede prior discussions.
12.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in effect.
12.3 No waiver. Ndovu’s failure to enforce a provision is not a waiver.
12.4 Assignment. You may not assign your enrollment (Section 2.2). Ndovu may assign these Terms to a successor of the Program.
12.5 Survival. Sections 5, 6, 7, 11, and 12 survive completion of, or your withdrawal or dismissal from, the Program.
12.6 Force majeure. Ndovu is not liable for delay or cancellation caused by events beyond its reasonable control (including weather emergencies, government orders, utility failure, or Venue unavailability); in the event of cancellation without rescheduling, Section 2.3 applies.
